Important Notice: These Terms contain a binding arbitration agreement and class action waiver that affect your legal rights. You may opt out of arbitration within 30 days as described below.
These Terms and Conditions (“Terms”) govern the use of the NoozRoom plugin (“Plugin”), the NoozRoom.com website, add-ons, license keys, updates, documentation, support, and related services (collectively, the “Services”). “Mighty Digital,” “we,” “us,” or “our” refers to Mighty Digital Group, Inc.
By purchasing, downloading, installing, accessing, or using using the Plugin, or any part of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Definitions
- “Plugins” means our NoozRoom WordPress plugin, add-ons, extensions, and related software packages.
- “License Key” means a key, token, or activation credential used for licensing, updates, and/or support eligibility.
- “Plan” means the license tier, subscription term, and site/usage limits displayed at checkout and in your account.
- “You” means the individual or legal entity using the Services.
- “Freemius” means the third-party merchant of record and licensing/checkout platform we use to process transactions.

3. Purchases via Freemius (Merchant of Record)
Purchases and subscriptions are processed by Freemius, which acts as the merchant of record, including payment processing, tax handling, and invoicing. Your purchase may also be subject to Freemius’ terms and privacy policies.
We do not store full payment card information.
4. License Grant; Open Source
4.1 Licensed, Not Sold
The Plugin is licensed, not sold. Subject to compliance with these Terms and your Plan, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Plugin on the number of websites permitted by your Plan.
4.2 Open Source Components
Our Plugins may include or depend on WordPress and other open-source software licensed under the GNU General Public License (GPL) or similar licenses. Nothing in these Terms limits rights granted under applicable open-source licenses.
4.3 Proprietary Materials
Trademarks, branding, documentation, design assets, and support content are proprietary and protected by intellectual property laws.
5. License Restrictions
Mighty Digital Group grants you a non-exclusive, non-transferable, revocable license to use the Plugin in accordance with these Terms. This license is contingent upon your adherence to both these Terms and the End User License Agreement (EULA) provided by Freemius.
You agree that you will not:
- Share, distribute, sublicense, or resell paid Plugin packages or License Keys.
- Bundle or repackage the Plugin without written authorization.
- Use the Plugin in a SaaS or WaaS model unless your Plan expressly permits it.
- Bypass or interfere with license validation mechanisms.
- Use nulled or pirated versions.
6. Orders, Pricing, and Errors
We may change pricing or Plans at any time. We reserve the right to refuse or cancel orders due to suspected fraud, errors, or unauthorized transactions.
7. Subscriptions and Renewals
Some Plans automatically renew unless canceled prior to renewal. Canceling prevents future charges but does not retroactively refund amounts paid, except as required by law or under the Refund Policy below.
8. Updates and Support
Active Plans may include updates and support. Expired Plans may lose access to updates, support, and premium functionality.
We do not guarantee compatibility with all themes, plugins, hosting environments, or future WordPress versions.
9. Demo Content and Third-Party Assets
Demo content, preview images, and example assets are for demonstration purposes only and may not be included in your purchase. Third-party assets remain the property of their respective owners.
10. Refund Policy – 14-Day Money-Back Guarantee
We offer a 30-Day Money-Back Guarantee on initial purchases. Refund requests must be submitted within 30 calendar days of the initial purchase date.
10.1 Eligible Purchases
- First-time purchases of a Plugin or Plan
- Initial subscription payments
10.2 Not Eligible
- Renewal payments
- Upgrades or downgrades
- Purchases older than 30 days
10.3 No-Questions-Asked Policy
We generally do not require a reason for a timely refund request. However, we may deny refunds where we reasonably determine there is abuse, fraud, violation of these Terms, or a pattern of excessive refund requests.
10.4 Processing
Approved refunds are processed through Freemius to the original payment method. Upon refund approval, your license key may be deactivated and your rights to use premium features terminate.
11. Communications
By using the Services, you consent to receive transactional communications such as receipts, renewal reminders, and security notices. You may opt out of marketing emails.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIGHTY DIGITAL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless Mighty Digital from any claims, liabilities, damages, or expenses arising from your use of the Services or violation of these Terms.
15. Governing Law
These Terms are governed by the laws of the State of California. The Federal Arbitration Act governs arbitration provisions.
16. Binding Arbitration and Class Action Waiver
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA).
Arbitration will take place in California unless otherwise agreed. Each party agrees to bring claims only in an individual capacity, not as a class or representative action.
16.1 Opt-Out Right
You may opt out of arbitration within 30 days of your first purchase by emailing [[email protected]] with the subject line “Arbitration Opt-Out Request” and including your name and purchase details.
17. Changes to These Terms
We may update these Terms at any time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
